Court documents in a GbR mailbox: Can a partner’s deadline already be running?

An enforcement order addressed to a partner is placed in the firm’s mailbox. Germany’s Federal Court of Justice explains when service is valid and why internal mail handling matters.

What was the BGH case about?

The proceedings concerned claims against a GbR and its two partners. Enforcement orders for EUR 40,500 each, plus interest, were placed in the mailbox at the GbR’s business premises on 8 August 2024. After insolvency proceedings were opened over the partners’ assets, the insolvency administrator did not lodge objections and request relief from the missed deadline until 28 October 2024 (paragraphs 1 to 3).

His argument was that documents addressed personally to the partners could not validly have been served there. The argument failed. The BGH confirmed that service was valid and that the two-week deadline for objecting had been missed. The appeal on points of law was dismissed. The judgment did not newly examine whether the damages claims were substantively justified (paragraphs 9 to 10 and 23 to 24).

Why the partnership’s mailbox can also receive personally addressed documents

What matters is the actual connection between the partners authorised to represent the partnership and the business premises. The BGH does not look solely at who owns or rents the office. A GbR’s premises typically also accommodate the business activities of the partners authorised to represent it (paragraphs 15 to 19).

According to the BGH, it can generally be expected that mail received there will also be forwarded to those partners in their personal affairs. No special contract between the recipient and an employee handling the mail is required (paragraph 20). The judgment concerns GbR partners authorised to represent the partnership. It cannot simply be extended to every employee, every partner or shareholder, or every other legal form.

When placing a document in the mailbox is sufficient

The person effecting service cannot simply skip the statutory intermediate steps. If the recipient is not found at the business premises, section 178(1), no. 2 of Germany’s Code of Civil Procedure (ZPO) first permits delivery to a person employed there. If that form of substituted service cannot be carried out, section 180 ZPO may apply.

The mailbox must belong to the business premises, be provided for receiving mail and be suitable for its usual secure storage. Once validly deposited, the document is deemed served. The person effecting service records the date on the envelope. Whether the recipient only reads it later is a separate issue. In the BGH case, the remaining requirements for service had been found to be satisfied and were not challenged in the appeal on points of law (paragraphs 11 and 22).

What is the deadline for objecting to an enforcement order?

For the domestic service scenario discussed here, the deadline for objecting to a German enforcement order is generally two weeks. This follows from section 700(1), read together with section 339(1) ZPO. Valid service is the relevant trigger. This deadline does not apply to every court document.

If the deadline has already expired, relief may be available where the party was prevented from meeting it through no fault of their own (section 233 ZPO). For a missed objection deadline, the request generally must be made within two weeks after the impediment ceases. The relevant facts must be substantiated to the required standard of credibility, and the objection must be lodged within the period for requesting relief (sections 234 and 236 ZPO). In this case, the absence of fault had not been adequately substantiated (paragraph 24).

What founding teams and GbR partners can learn from the judgment

Our own hypothetical example: two designers run a GbR and both are authorised to represent it. A court document is addressed to only one of them and is left lying in the office because it is treated internally as that partner’s private affair. Our practical conclusion from the judgment is that this classification does not reliably prevent a deadline from expiring. The particular document and the circumstances of service need immediate review.

Specify who checks the mailbox, how personally addressed court documents are promptly passed to their intended recipient and who takes over these organisational tasks during absences. If a document has already arrived, the following are particularly useful for a legal review:

  • The complete court document, all attachments and the original envelope showing the service date.
  • Details of when it was actually found, how mail has been forwarded and who was involved.
  • Information about authority to represent the partnership, use of the business premises and which premises the mailbox serves.
  • Existing procedural documents and verifiable evidence of any impediments.
